1. Introduction
Welcome to StemNest Academy. These Terms of Use ("Terms") govern your access to and use of the StemNest Academy website at www.stemnest.co.uk and all associated services, platforms, and tools (collectively, the "Platform"), operated by StemNest Academy Ltd, a company registered in England and Wales ("we", "our", "us").
By accessing or using the Platform — including booking a Demo Class, creating an account, or enrolling in any course — you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Platform.
These Terms constitute a legally binding agreement between you and StemNest Academy Ltd. Your continued use of the Platform following any update to these Terms constitutes your acceptance of the revised Terms.
2. Definitions
In these Terms, the following words have the meanings set out below:
- "Account" means the registered user profile created by a parent, guardian, or eligible adult on behalf of a student, or directly by an adult learner, upon completing StemNest's registration process.
- "Authorised Representative" means a parent or legal guardian who is legally competent to enter into binding contracts on behalf of a minor, and who has registered an Account and accepted these Terms.
- "Class" / "Session" means a scheduled, real-time live tutoring session conducted through the Platform between a student and a Tutor.
- "Content" means all text, graphics, images, course materials, lesson plans, assessments, videos, trademarks, and other material available on or through the Platform.
- "Demo Class" means a complimentary introductory live session offered to a prospective student and their Authorised Representative, free of charge, to evaluate the Platform and Services.
- "Minor" means any individual under the age of 18 years.
- "Permitted Educational Purpose" means the delivery of structured curriculum content as designed and approved by StemNest Academy for a given Class.
- "Platform" means the StemNest Academy website, learning portal, and all associated digital tools and services.
- "Services" means all educational programmes, live tutoring sessions, and related services provided by StemNest Academy through the Platform.
- "Session Data" means any audio, video, chat, and screen activity recorded during a live session.
- "Tutor" / "Instructor" means any teacher or tutor engaged by StemNest Academy to deliver sessions through the Platform.
- "You" / "User" means any person who accesses or uses the Platform, including parents, guardians, students, and tutors.
3. Eligibility
By using the Platform, you represent and warrant that:
- You are at least 18 years of age, or you are an Authorised Representative acting on behalf of a Minor;
- You have the legal capacity to enter into a binding agreement;
- You will comply with these Terms and all applicable laws and regulations;
- All information you provide to us is accurate, complete, and up to date.
Minors may not register for an Account independently. All accounts for students under 18 must be created and managed by a parent or legal guardian, who accepts full responsibility for the Minor's use of the Platform.
4. Your Account
To access certain features of the Platform, you may be required to create an Account. You are responsible for:
- Maintaining the confidentiality of your login credentials;
- All activity that occurs under your Account;
- Notifying us immediately at hello@stemnest.co.uk if you suspect any unauthorised use of your Account.
One Account may not be shared between unrelated households. StemNest Academy is not liable for any loss arising from your failure to maintain the security of your Account credentials.
5. Our Services
StemNest Academy provides live 1-on-1 online tutoring in Coding, Mathematics, and Sciences for students aged 7 to 19. Our Services include:
- Live tutoring sessions delivered by qualified Tutors through the Platform;
- Demo Classes offered to prospective students on a complimentary basis;
- Access to curriculum materials, lesson plans, and educational resources;
- Account management, scheduling, and communication tools;
- Customer support and academic counselling services.
StemNest Academy reserves the right to modify, suspend, or discontinue any part of the Services at any time, with reasonable notice to affected users where practicable.
6. Demo Classes
StemNest Academy offers a complimentary Demo Class to prospective students and their Authorised Representatives. The Demo Class:
- Is provided free of charge and without obligation to purchase;
- Is conducted by a Tutor through the Platform under the same standards as a paid Class;
- Is subject to these Terms in their entirety, including session recording and conduct policies;
- Establishes the contractual relationship between StemNest Academy and the User upon acceptance of these Terms.
Registration for a Demo Class constitutes acceptance of these Terms and our Privacy Policy, and consent to receive communications from StemNest Academy as described in Section 13.
7. Use Licence
StemNest Academy grants you a limited, personal, non-exclusive, non-transferable, revocable licence to access and use the Platform solely for your personal, non-commercial educational purposes.
Under this licence, you may not:
- Copy, modify, or distribute any Content from the Platform without our prior written consent;
- Use any Content for commercial purposes or public display;
- Attempt to decompile, reverse engineer, or extract the source code of any software on the Platform;
- Remove any copyright, trademark, or proprietary notices from any Content;
- Transfer or sublicence your access rights to any other person;
- Use automated tools, bots, scrapers, or similar technologies to access or extract data from the Platform.
This licence terminates automatically if you breach any of these Terms. Upon termination, you must cease all use of the Platform and destroy any downloaded materials.
8. Content
StemNest Content
All curriculum materials, lesson plans, course structures, assessments, videos, graphics, trademarks, and other Content created or owned by StemNest Academy is our intellectual property and is protected by copyright and other applicable laws. You may not reproduce, distribute, or create derivative works from StemNest Content without our prior written consent.
User-Generated Content
You retain ownership of any original content you submit through the Platform (such as student work or feedback). By submitting content, you grant StemNest Academy a non-exclusive, royalty-free licence to use it for service delivery, quality assurance, and platform improvement purposes.
You are solely responsible for the accuracy, legality, and appropriateness of any content you submit. StemNest Academy reserves the right to remove any content that violates these Terms or is otherwise objectionable, at our sole discretion.
Third-Party Content
The Platform may contain links to or content from third-party websites. StemNest Academy does not endorse or take responsibility for third-party content. Your use of any linked website is at your own risk.
9. User Obligations
By using the Platform, you agree to:
- Provide accurate, truthful, and up-to-date information at all times;
- Use the Platform only for its Permitted Educational Purpose;
- Treat all Tutors, staff, and other users with respect and courtesy;
- Not share your Account credentials with any third party;
- Not record, screenshot, or distribute any session content without prior written consent from StemNest Academy;
- Not use the Platform to transmit any unlawful, offensive, discriminatory, defamatory, or inappropriate content;
- Not attempt to disrupt, hack, or interfere with the Platform or its infrastructure;
- Not impersonate any person or misrepresent your identity or affiliation.
During live sessions, all participants — including students, parents, and guardians — are prohibited from making Off-Curriculum Statements: any statement, opinion, or conduct that is unrelated to the Permitted Educational Purpose, or that is political, religious, discriminatory, offensive, or otherwise inappropriate. StemNest Academy reserves the right to terminate any session in which such conduct occurs.
10. Tutors & Instructors
Independent Contractor Status
All Tutors engaged by StemNest Academy are retained as independent contractors, not employees. Nothing in these Terms creates an employment, agency, or partnership relationship between StemNest Academy and any Tutor.
Scope of Engagement
Each Tutor's engagement is strictly limited to delivering the Permitted Educational Purpose for the relevant session. StemNest Academy does not authorise Tutors to express personal opinions, political or religious views, or any content outside the approved curriculum during sessions.
Tutor Conduct
Any statement or conduct by a Tutor that falls outside the approved curriculum is made in that Tutor's personal capacity and does not represent the views or policies of StemNest Academy. StemNest Academy is not liable for any such off-curriculum conduct. StemNest Academy reserves the right to suspend or terminate any Tutor's engagement where a breach of conduct is alleged or confirmed.
11. Session Recording & Monitoring
StemNest Academy may record, monitor, and store Session Data from live sessions for purposes including quality assurance, safeguarding, complaint investigation, and compliance with legal obligations.
By participating in any session through the Platform, all participants — including students, parents, guardians, and Tutors — acknowledge and consent to such recording as a condition of participation.
Session Data is processed in accordance with our Privacy Policy. Session recordings are not retained indefinitely and may be deleted in accordance with our data retention policy. StemNest Academy is not obligated to preserve Session Data beyond the applicable retention period unless required by law or a valid legal process.
Where a participant submits a written request to preserve Session Data in connection with a genuine legal dispute, StemNest Academy will use reasonable efforts to implement a hold on data that has not already been deleted. Such requests must be submitted to legal@stemnest.co.uk.
12. Payments
Payments for StemNest Academy's paid services are processed through secure third-party payment providers. By making a payment, you agree to the terms and conditions of the relevant payment provider.
StemNest Academy does not store your full card details. All payment transactions are encrypted and processed securely.

13. Communication & SMS
By registering on the Platform or booking a Demo Class, you consent to receive communications from StemNest Academy by email, SMS, and WhatsApp, including:
- Booking confirmations and class reminders;
- Automated reminder calls before scheduled sessions;
- Service updates and important account notices;
- Promotional communications (where you have given consent — you may opt out at any time).
You may opt out of marketing communications at any time by clicking "unsubscribe" in any email or by contacting us at hello@stemnest.co.uk. Opting out of marketing communications will not affect essential service communications.
SMS: Message and data rates may apply. You may opt out of SMS communications at any time by replying STOP. Mobile information will not be shared with third parties for marketing or promotional purposes.
14. Indemnity
You agree to indemnify, defend, and hold harmless StemNest Academy Ltd and its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:
- Your use of or access to the Platform;
- Your breach of these Terms;
- Your violation of any applicable law or the rights of any third party;
- Any content you submit through the Platform;
- Any off-curriculum statement or inappropriate conduct by you or any Minor under your supervision during a session.
Where StemNest Academy provides a refund or service credit in connection with a complaint, this does not constitute an admission of liability and shall not be used as evidence in any legal proceedings.
15. Limitation of Liability
To the fullest extent permitted by applicable law:
- The Platform and all Content are provided on an "as is" basis without warranties of any kind, express or implied;
- StemNest Academy does not warrant that the Platform will be uninterrupted, error-free, or free from viruses or other harmful components;
- StemNest Academy is not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform, including loss of data, loss of profits, or business interruption;
- StemNest Academy's total liability to you for any claim arising under these Terms shall not exceed the total fees paid by you to StemNest Academy in the 12 months preceding the claim. Where services were provided free of charge, our total liability shall not exceed £100.
Nothing in these Terms excludes or limits StemNest Academy's liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable UK law.
Your sole and exclusive remedy for dissatisfaction with the Platform or Services is to stop using the Platform and, where applicable, to request a refund in accordance with our Refund Policy.
16. Termination
You may stop using the Platform at any time. You may request closure of your Account by contacting us at hello@stemnest.co.uk.
StemNest Academy reserves the right to suspend or terminate your access to the Platform at any time, with or without notice, if:
- You breach these Terms;
- We are required to do so by law;
- We reasonably believe your conduct poses a risk to other users, Tutors, or the Platform.
Upon termination, your right to use the Platform ceases immediately. Provisions of these Terms that by their nature should survive termination (including intellectual property, indemnity, and limitation of liability) will continue to apply.
17. Governing Law & Disputes
These Terms are governed by and construed in accordance with the laws of England and Wales. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
Before initiating any legal proceedings, we encourage you to contact us at hello@stemnest.co.uk to attempt to resolve any dispute informally. We will endeavour to respond within 10 business days.
18. Amendments
StemNest Academy may update these Terms at any time. The most current version will always be available on our website, with the date of last update shown at the top of this page.
Where changes are material, we will notify you by email or by a prominent notice on the Platform. Your continued use of the Platform after any changes constitutes your acceptance of the updated Terms.
